1. Agreement to Terms

By accessing or using Squareglass (the Service), operated by SQUAREGLASS, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Squareglass is a cloud-based digital asset management (DAM) platform that allows teams to upload, organize, tag, search, and share video and image assets. The Service is provided on a subscription basis.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate and complete information when creating your account. You must be at least 18 years old to use the Service.

4. Subscriptions and Payment

Squareglass offers subscription plans billed monthly or annually. All plans include a free trial period. No credit card is required to start a trial. After the trial period, continued use requires a paid subscription. Payments are processed securely by Stripe. Current pricing is available at squareglass.io. We reserve the right to change pricing with 30 days written notice to existing subscribers.

5. Cancellation and Refund Policy

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period. No partial refunds are issued for unused time within a billing period. Annual subscriptions canceled before the end of the term will not be refunded for remaining months. We reserve the right to offer discretionary refunds on a case-by-case basis.

6. Free Trial

New accounts receive a free trial with full access to the Service. After the trial period ends, a paid subscription is required to continue. We reserve the right to modify or discontinue the free trial offer at any time.

7. Your Content

You retain full ownership of all files, videos, images, and other content you upload to Squareglass (Your Content). By uploading content, you grant us a limited, non-exclusive license to store, process, and display Your Content solely to provide the Service to you. We do not claim ownership of Your Content. We do not sell, share, or use Your Content for any purpose other than operating the Service. We will never use Your Content to train any AI or machine learning models.

8. Data Storage and Infrastructure

Your Content is stored on Cloudflare R2 object storage in a private bucket, served exclusively through authenticated, time-limited signed URLs. No user can access another user's content. As the infrastructure operator, we have administrative access to stored data for maintenance and legal compliance purposes only. We will not access Your Content except for legitimate technical support purposes or as required by law.

9. Data Deletion

Upon cancellation, your data will be retained for 14 days to allow for reactivation or export. After 14 days, all Your Content and associated data will be permanently and irreversibly deleted. You are responsible for exporting your data before account closure.

10. Acceptable Use

You agree not to use the Service to:

• Upload, store, or share content that is illegal, harmful, defamatory, obscene, or infringes third-party rights
• Attempt to gain unauthorized access to other users accounts or data
• Reverse engineer or attempt to extract the source code of the Service
• Use the Service in any way that could damage or impair its infrastructure
• Resell or sublicense access to the Service without our written consent

We reserve the right to suspend or terminate accounts that violate these terms without notice or refund.

11. Intellectual Property

Squareglass, including its software, design, branding, and documentation, is owned by SQUAREGLASS and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our express written permission.

12. Third-Party Services

The Service integrates with the following third-party services:

• Stripe: payment processing
• Cloudflare R2: file storage
• Supabase: authentication and database

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of these third parties.

13. Availability and Uptime

We aim to provide reliable, uninterrupted access to the Service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage arising from Service interruptions.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

15. Limitation of Liability

To the maximum extent permitted by law, SQUAREGLASS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

16. Indemnification

You agree to indemnify and hold harmless SQUAREGLASS and its operators from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

17. Governing Law

These Terms are governed by the laws of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

18. Changes to Terms

We reserve the right to update these Terms at any time. We will notify existing subscribers of material changes by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
